InnaPhase Finalizes Acquisition of Beckman Coulter’s Laboratory Automation Operations Creating The World’s Largest Laboratory Information Management Systems Provider

PHILADELPHIA, July 25, 2003 /PRNewswire/ — InnaPhase Corporation, a privately-owned software company and leading provider of Laboratory Information Management Systems (LIMS) solutions for the life sciences market, today announced it has closed the transaction with Beckman Coulter, Inc., Fullerton, CA, to acquire Beckman Coulter’s Laboratory Automation Operations (LAO) that was announced in May of this year. Details of the cash transaction were not disclosed.

Beckman Coulter’s Laboratory Automation Operations, since pioneering the first commercial LIMS in 1979, has been a leading provider of LIMS used for the collection and management of data in pharmaceutical research and development processes.

The acquisition expands InnaPhase Corporation’s portfolio of pharmaceutical solutions and catapults InnaPhase to the position of the largest LIMS vendor in the world. InnaPhase now services more pharmaceutical accounts than all other LIMS vendors combined.

The transaction is also an important element of InnaPhase Corporation’s pharmaceutical enterprise software strategy. Pharmaceutical accounts represent over half of the LAO user base; the market norm for other LIMS vendors is only 17%. InnaPhase is the only LIMS vendor that develops LIMS solutions vertically, specifically for markets such as the Pharmaceutical industry. In 2004, InnaPhase Corporation will release Thompson TM for non-Pharmaceutical users, which will specifically address their information management needs.

“When we made the decision to divest this business, we placed great importance in finding a partner who would ensure a secure future for our customers,” said James Harris, vice president/director of Beckman Coulter’s Biomedical Research Division. “We performed an extensive search, and determined that InnaPhase was that company.”

The Beckman Coulter’s Laboratory Automation Operations systems are installed in over 1,600 laboratories worldwide and are seamlessly integrated with other Enterprise Resource Planning systems (ERPs) such as SAP, SSA, BPCS, Maracm Prism, Documentum, and MFG Pro etc. The vast majority of these installations are in the pharmaceutical industry.

“The addition of Beckman Coulter’s Laboratory Automation Operations expands our customer base and broadens our expertise in the pharmaceutical enterprise software marketplace specifically in the chromatography sector,” said Jo Webber, Ph.D., president and chief executive officer of InnaPhase Corporation. “Both organizations share many synergies, including innovative software technologies, high emphasis on customer support and services as well as cultural and business philosophies.”

Beckman Coulter’s Laboratory Automation Operations’ laboratory applications enable customers to automate service-related business processes, resulting in lower operational costs and enhanced service delivery.

“InnaPhase Corporation has experienced tremendous customer and revenue growth under the guidance of Dr. Webber,” said Howard Ross of LLR Partners, lead investor for InnaPhase. “The acquisition of Beckman Coulter’s Laboratory Automation Operations marks another major milestone in InnaPhase Corporation’s ongoing expansion and their commitment to continue to provide best of breed solutions to both the pharmaceutical and non-pharmaceutical marketplace.”
